WHAT SUCCESS MEANS IN THIS ROLE
The Corporate Paralegal will ensure the firm complies and adheres to legal aspects of its business operations. This role will perform administrative duties including administration of contracts and contract review; NDA maintenance, privacy agreements, legal research, review and response to vendor questionnaires, preparation of various routine and specialized documents and correspondence litigation support.

PAY CLASSIFICATION: Full-Time, Exempt
ESSENTIAL ACTIVITIES PERFORMED
- Prepare, proofread, and review materials and legal documents including NDA’s, employment contracts, client contracts, sub-contractor contracts, amendments, and resolutions to ensure accuracy, conformance to standard legal style, consistency between clauses and/or provisions, verification of citations, codes and other legal references; verifies completeness.
- Maintain corporate existence where required and evaluate nexus for state and local tax purposes.
- Review and maintain Business Associate Agreements.
- Review and maintain firm compliance such as CPA licenses, and other compliance licensing requirements.
- Advise leadership in evaluating intellectual property rights based on IP developed by the firm.
- Review and analyze insurance related documents to ensure compliance.
- Respond to vendor questionnaires for clients who require detailed information regarding firm governance and operations.
- Advise leadership as to federal-based requirements based on federal contracting.
- Assist in responding to RFP’s from a legal perspective.
- Assist in immigration and/or issues related to US and non-US employment matters.
- Conduct legal and factual research and data analysis as directed; compile data from sources such as electronic and hard copy digests, practice manuals, and/or published laws and regulations.
- Follows up on work assigned to outside counsel.
- Assist in gathering information and documents in response to legal cases, subpoenas, attorney letters and administrative agency requests; and timely coordinate distribution of appropriate documents and information with outside legal counsel and other requesting parties.
- Organize, index, scan, duplicate, file and/or save case-specific legal documents, and other materials.
- Draft legal documents for corporate governance including Board meeting minutes, corporate resolutions, and annual meeting matters.

EDUCATION
Associate or bachelor’s degree
EXPERIENCE
Five (5+) years of experience including paralegal or other legal paraprofessional or any equivalent combination of training and experience

- Advanced-level skills in Microsoft Office Suite required, with extensive knowledge in Word, Outlook, knowledge of Excel and PowerPoint is helpful.
