JOB TITLE: Corporate Paralegal/Legal Assistant (Transactions)
REPORTS TO: Chief Legal and Administrative Officer
FLSA STATUS: Exempt
SUMMARY / JOB PURPOSE:
AmeriLife is growing rapidly and is seeking a Corporate Paralegal/Legal Assistant (Transactions) to join our growing legal team. This individual would provide a broad range of legal support with a concentration of corporate transactions (mergers and acquisitions (M&A)) together with other corporate matters. The ideal candidate would be well organized, detail oriented and have experience with closing legal transactions.
PRINCIPAL DUTIES AND RESPONSIBILITIES:
- Assist AmeriLife’s legal team with corporate transactions mergers and acquisitions
- Assisting with due diligence activities (i.e., ordering and reviewing lien searches, etc.)
- Assisting with closing checklist including tracking down signature pages, filling in dates, tracking down final agreements and providing general support
- Assist in corporate governance functions, including assisting with first drafts of written consents and resolutions and corporate filings
EDUCATION, SKILLS AND QUALIFICATIONS:
- Either:
- Bachelor’s Degree with 2+ years of corporate transactional experience (whether in mergers & acquisitions (M&A), real estate closings, securities offerings or commercial finance closings) as a paralegal, legal assistant or contracting specialist with a regionally or nationally recognized law firm and/or in-house legal department preferred, OR
- 5+ years of corporate transactional experience (whether in mergers & acquisitions (M&A), real estate closings, securities offerings or commercial finance closings) as a paralegal, legal assistant or contracting specialist with a regionally or nationally recognized law firm and/or in-house legal department preferred.
- Strong project management skills, including the ability to prioritize, balance, and manage multiple tasks simultaneously.
- Ability to appreciate the importance of meeting deadlines
- A strong work ethic
- Comfortable in a remote working environment
- Demonstrates the organization’s core values, exuding behavior that is aligned with AmeriLife’s culture.
- Maintain confidentiality and exercise a high standard of judgment and discretion
