INTRODUCTION
Barefoot Bay Recreation District (hereinafter referred to as “BBRD”) is an independent special district
established pursuant to Brevard County Ordinance 84-05 as amended and Fla. Stat. Secs. 418.30 through
418.309. BBRD is comprised of approximately 5000 residential lots, BBRD owned common areas, and BBRD
owned leased commercial facilities. BBRD is governed by an elected five-member Board of Trustees with
quasi-judicial committees and advisory committees (currently not active). BBRD maintains various public
recreational amenities including an 18-hole golf course, 3 heated pools, fishing pier, beach access,
shuffleboard, miniature golf, tennis courts, bocce ball, lawn bowling, softball, walking paths, multiple meeting
rooms, restaurant, and lounge. BBRD maintains common parcels it owns and the stormwater system for the
community. BBRD has the duty of enforcement of the Deed of Restrictions for the community and provides
nighttime security. For more information please go to www.bbrd.org. Other governmental services are
provided by Brevard County.
BBRD currently has a $7 Million annual budget and approximately 120 authorized employees (76.61 FTEs).
BBRD is managed via a Management Services Agreement with Special District Services, Inc.
The Board of Trustees holds regularly scheduled meetings the second Friday (1:00 p.m.) and fourth Tuesday
(7:00 p.m.) of each month, except for November and December when only the Friday meetings are held.
Additionally, occasional Board of Trustees Workshops are scheduled for specific issues. Typically, there are
six or fewer workshops per year.
Hence, BBRD is requesting unsealed proposals for “Legal Services” of a new General Counsel.
PROPOSALS DUE DATE & TIME: Friday, November 05, 2021 at 3:00 p.m. Proposals package shall be e-mailed
or hand-delivered to the Office of the District Clerk, located at the BBRD Administration Building, 625
Barefoot Blvd., Barefoot Bay, Florida 32976. Proposals are to be received NO LATER THAN 3:00 p.m. after
which time the invitation will be officially closed. Proposals received after the specified time and date will not
be accepted. BBRD will not be responsible for mail delays, late, or incorrect deliveries. The time/date of the
email or written on the package by staff in the BBRD Administration Building will be the official authority for
determining late Proposals.
Proposals shall contain a resume for lead counsel and any supporting attorneys, applicable
qualifications/experience of all team members, and the hourly billable rate for each individual.
SCOPE OF WORK
General Counsel, as outside counsel (not an in-house position), shall furnish to the BBRD all applicable
professional and legal services, including, personnel, management, materials, and related items, and shall
perform all operations necessary to satisfactorily carry out the Scope of Services set out as follows:
A. Attend all meetings of the BBRD Board of Trustees as designated and directed by the BBRD.
B. Defend the BBRD as directed by the BBRD in all legal matters and litigation and/or work with assigned
claims counsel in liability matters
C. Prosecute such legal causes as directed by the BBRD.
D. Draft such resolutions, agreements, laws and other legal documents as required by the BBRD.
E. Render such legal opinions, advice, and legal counseling as requested by the BBRD.
F. File proceedings to validate obligations, certificates, or bonds to be issued by the BBRD and/or work with
outside counsel for this purpose.
G. Prepare necessary legal documents and close all real estate transactions entered into by the BBRD.
H. Legal advice to BBRD Community Manager, and/or designees, related to BBRD operations.
I. Such other legal services as requested by the BBRD including review of and/or amendments to the BBRD
Charter and/or Deed of Restrictions.
TIMELINE
The anticipated schedule for this recruitment is as follows:
SELECTION PROCESS
The Board of Trustees intends to cull the applicants to a manageable number and interview said individuals
on dates listed above. At the conclusion of the interviews, the Board of Trustees plans on ranking the
interviews and authorizing the Chairman of the Board and Community Manager to negotiate a contract with
the top ranked individual. Award of the contract for legal services is planned for the Board of Trustees’
meeting on December 3, 2021. A transitionary period will then follow between the outgoing and incoming
General Counsel.
EXPERIENCE AND QUALIFICATIONS
The preferred candidate should be an attorney practicing in Florida for no less than seven (7) years with at
least five (5) years of experience specifically representing local government entities or special
districts. Member of the Florida Bar in good standing is required. An equivalent combination of experience
and qualifications will be considered.
