Job Summary:
We are looking to hire an experienced Senior In-house Counsel/Commercial Real Estate/ Business Attorney/ Health Care Attorney/ Landlord Tenant Attorney to join our company.
In this role, you will be responsible for every phase of contract development, from legal regulations research to terms negotiation and print document preparation. You will also evaluate bids and draft documents by collaborating with a legal team or working independently, as well as handling business and real estate litigations when they come up. In addition to providing assistance to clients to terminate contracts on favorable terms. In addition, you will handle Client matters from beginning to end, including Client intake through resolution.

Duties and Responsibilities
• Interpretation of laws and policies impacting transactions, contracting, and public procurement.
• Providing pragmatic, focused legal counsel on transactional matters, interpretation of contracts, applicable laws, rules, and policies.
• Database and project management trackers updating and maintaining for assigned contracts with status and relevant contract information.
• Advice and guidance providing specific contract requirements to the account/ delivery teams and contractual compliance tracking.
• Appropriately to the operational environment and with continuous improvement implementation, define and deploy a suite of end-to-end contracting governance processes by collaborating with all relevant stakeholders.
• Resolutions of any challenges, disagreements, and conflicts which may arise from the client to the broker.
• Working with business leadership, account /delivery team, other internal SMEs.
• Overseeing the maintenance of a full set of contractual records( such as contract documents, key contract-related correspondence, change control log, status reports and conformed copies).
• Partnership, commercial, vendor/services, technology, data protection agreements/addenda (DPAs) for GDPR/CCPA, and advertising/marketing agreements/transactions, structuring, negotiation, and drafting.
• M&A and investment due diligence project assistance, as well as reorganization projects corporation.
• Enabling the team to scale by designing processes such as standardizing common deal terms and agreements and coordinating business and legal positions across teams.
- Providing counsel on laws and regulations and risks governing consulting, technology, and outsourcing services provided to health insurance clients and healthcare provider clients.
- Coordinating physician group compliance in a hospital environment.
- Payment issues advising, including Medicare and Medicaid.
- Advising the company leadership on legal risks associated with such transactions.
- Strategizing with company executives prior to client negotiations
- Researching and providing legal advice to clients.
- Staying up-to-date with legal developments affecting the company, its clients, and industries.
- Advising and representing health care providers and entities in the purchase, sale, and formation of health care entities.
- Presenting to clients and community group seminars on health care law.
- Researching and analyzing complex legal issues relating to healthcare, FDA law, employment law, or general corporate law.
- Coordinating property management staff, support services staff, rental assistance agencies, and other support providers with landlords to prevent UD filings.
- Unlawful detainer proceedings initiating and/or defending, such as: drafting 3/30/60-day notices, unlawful detainer complaints and related motions, and settlement agreements.
- Client representing at settlement conferences, motion hearings, trial, and other assigned appearances.
- Stipulation agreements monitoring and enforcing via ex parte procedures with the Superior Court.
- Coordinating Insurance claim investigations.
- Determine non-pay proceedings by maintaining rent rolls.
- Warrants drafting and sending them to court to be signed and following up on missed warrants.
- Letters drafting as needed.
Qualifications and Requirements
• Must have a law degree from an accredited law school and be admitted to practice law in at least one jurisdiction.
• 10+ years of related experience as an attorney at a law firm and/or as in-house counsel.
• 2+ years of healthcare compliance experience.
• HIPAA compliance with patient privacy rules experience.
• At least 5 years’ experience working with commercial contracts and related terms and conditions.
• Detailed understanding of key legal/ commercial principles and obligations found in services contracts.
• Excellent business judgment; intellectual curiosity and the ability to balance legal and business requirements.
• Technologically minded, with the ability to learn/ adopt new systems quickly.
• Collaborative and enjoy working with a variety of internal operational and business teams.
• Strong familiarity with due diligence.
• Good at understanding complex topics and explaining them to others in clear, concise terms.
• Independently negotiating outbound commercial agreements, including partnership and affiliate agreements.
• Assisting with the legal review, and processing of procurement and vendor contracts.
• Excellent writing and communication skills.
• Ability to build relationships with both the client and Cognizant internal functional areas.
• Ability to identify and negotiate a fair deal and manage difficult/ tense situations.
• Strong numeracy skills, with demonstrable fluency in deal economics.
• Familiarity with P&L management/ reporting would be an advantage.
• Proactive problem solver: Highly motivated, with the drive to work independently, manage, and prioritize deals with deadlines.
• Proficiency in the Microsoft Office suite (Powerpoint, Word, Excel) is essential.
- Experience with Commercial Litigation, Collections, Evictions, and Bankruptcy.
- Experience with Evictions and Non-Pay proceedings.
- Knowledge of Florida landlord-tenant law and contract law preferred.
- Must have experience or be willing to assist with the preparation and filing of legal documents under time-sensitive conditions.
