Requirements

  • Bachelor’s degree required: NO

  • Legal Transactional experience: 5 years (Required)

  • Basic knowledge of typical office equipment including multi-line phones, multi-function machines, cost recovery equipment, etc

Responsibilities

  • The Legal Administrative Assistant is responsible for providing daily administrative needs supporting the attorneys in corporate and transactional work
  • Drafting, review and execute documents related to mergers, acquisitions, business dissolutions
  • Writes, proofreads, sends, files, and manages correspondence, memos, pleadings, contracts, forms, indices, and other related documents
  • Receives, reads, and routes incoming mail
  • Transcribes dictation
  • Answers telephone and routine questions. Routes calls as needed to appropriate members within the organization
  • Manages appointments and maintains updated contacts
  • Calendars all relevant deadlines
  • Prepare attorney confirmation letters upon request by clients
  • Respond to client requests
  • Assist with due diligence in mergers and acquisitions
  • Prepare, search, review and file Uniform Commercial Code filings
  • Order and review certificates of good standing for business entities
  • Prepare stock certificates for business entities
  • Obtain federal employer ID numbers from the Internal Revenue Service for business entities and pension plans
  • Prepare annual resolutions for business entities
  • Prepare and file documents to amend formation and qualification documents in various states for business entities
  • Closing transcripts from transactions
  • Prepare and maintain entity minute books
  • Business entity research on various state agency websites
  • Prepare and file annual reports for business entities with state agencies
  • Assist with charitable registrations
  • Assist with preparation and filing of franchise registrations
  • Order certified copies of formation documents from state agencies
  • Coordinate apostille process for documents from state agencies
  • Prepare and file statutory agent updates and resignations with Secretary of State offices
  • Performs other work-related duties as assigned and appropriate for specific area(s) of law as assigned
  • Attends staff meetings
  • Updates job knowledge by participating in ongoing educational opportunities, including but not limited to reading professional publications
  • Furthers organization goals by accepting ownership for accomplishing new and different requests as well as exploring opportunities to add value to job accomplishments
  • Standing and walking regularly, up to two hours per day
  • Sitting position, static for up to one-half hour at a time, up to six hours per day
  • Lifting and carrying up to 20 pounds occasionally
  • Bending and stooping regularly, up to one hour per day
