Under the general direction of the designated Associate General Counsel, the Senior Paralegal – Commercial Transactions will provide strategic and administrative support to the QxH Legal Department for various commercial transactional (non-IT) matters. Senior Paralegal – Commercial Transactions will facilitate the execution of various commercial (non-IT) agreements by analyzing business needs through coordination with business partners and by negotiation with vendors. You will also coordinate with business partners in identifying, and finding solutions to issues or problems relating to contracting processes or other processes or projects requiring Legal Department input. The position is based at our St. Petersburg, Florida location.

Job Responsibilities

  • Manage QxH agreements, including, without limitation, merchandising, real estate, service, procurement, technology, personnel, quality assurance, and marketing agreements, from inception through completion, including, without limitation, drafting, review, negotiation, interaction with QRG stakeholders at all levels/locations, and interaction with vendors’ counsel.
  • Review agreements and advise QxH stakeholders at all levels/locations with regard to rights and obligations under agreements, including, without limitation, licensing rights, use restrictions applicable to desired corporate and advertising materials, and termination rights.
  • Advise and provide direction to Legal Department team members in foreign markets regarding QxH procedures and processes.
  • Represent QxH Legal in QRG initiatives and collaborate with QRG stakeholders at all levels/locations to promote timely, successful deployment of such initiatives.
  • Maintain QxH agreements, including, without limitation, retention in legal contract management systems.
  • Manage roll-out of new agreement forms and/or contracting processes with QRG stakeholders.

Required Qualifications

  • Bachelors or equivalent plus minimum of 10 years’ experience drafting and editing contracts or other legal documents.
  • Significant familiarity with, and comprehension of, applicable legal concepts, and the ability to explain, memorialize, and apply them.
  • Consistent exercise of critical thought and keen judgment. Equally adept at successful communication and interaction with superiors, peers, and subordinates.
  • Recognize, prioritize, and favorably reconcile competing interests.
  • Effectively act autonomously where appropriate, but able to discern when assistance is required and/or desirable.
